| WEBMasters Terms and Conditions |
|
| This service agreement for participation with the MANcheck.com service is made effective as of the date of acceptance, and will constitute binding and enforceable Terms and Conditions between
MANcheck.com and you, the participating webmaster. In consideration for
MANcheck.com agreement to activate the access script on any or all of the registered sites submitted to
MANcheck.com, you represent to MANcheck.com and agree as follows: |

1. You are at least eighteen (18) years of age, or 21 in any state where 21 constitutes the age of majority, and you have the full legal capacity to enter into this Agreement. |
|
|
|
2. You are solely responsible for selecting and providing any and all content, material, products, and/or services on your site; that
MANcheck.com is not responsible for reviewing, selecting, editing, or monitoring any of the content you place on your site; and that you agree to hold
MANcheck.com harmless and fully indemnify MANcheck.com from any and all liability that may arise, either directly or indirectly, from any of the content on your site(s). |

|
3. It is your sole responsibility to provide and maintain a valid, working administrative e-mail address upon registration, which you may update, online within the webmasters Forum. The security of your
MANcheck.com webmaster account is dependent in part upon you maintaining the security of the administrative e-mail address as provided to
MANcheck.com by you. Any payment changes to your account via e-mail must be made via the administrative e-mail address provided on enrollment.
MANcheck.com shall not be responsible for any unauthorized changes made to your account from this e-mail address. |

4. If any person or entity makes a claim against funds in your account, or if
MANcheck.com has reason to believe there is or may be a dispute over matters such as ownership of the account or the authority to receive payment, or make changes to the account,
MANcheck.com may, in its sole discretion, (1) continue to rely upon current
MANcheck.com documents; (2) honour the competing claim upon receipt of evidence
MANcheck.com deem satisfactory to justify such a claim; (3) freeze all or part of the funds until the dispute is resolved to
MANcheck.com's satisfaction; or (4) pay the funds to an appropriate court of law for resolution. |

|
5. It is Your sole responsibility to place your site in the appropriate Category of the Participating Site List, display the correct URLs to your Warning page where your
MANcheck.com script is located or access to that script is located; that the description of your site must be accurate and that any deceptive information placed on a
MANcheck.com Participating Site List by you for your site will cause your site to be removed from the Links Page permanently and without warning at the sole and absolute discretion of
MANcheck.com. |

|
6. Your site shall not link to any other site's, not owned or controlled by you, unless you have prior consent from the owners of that other site. |
|
|
|
7. Sites hosted on free servers not allowing adult content will not be accepted. |
|
|
|
8. Multiple sites owned by the same person or entity must be designed as individual sites, each containing its own individual Warning Pages and Content Pages. All sites owned by the same person or entity must be registered under the same Webmaster identification number. |
|
|
|
9. You understand and agree that MANcheck.com reserves the right at its own discretion without prior notice to You to deduct from Your account any chargebacks, refunds, sanctions or penalties assessed to Your account, as well as, the right to holdback a reasonable amount for repetitive excessive activity affiliated to Your account for chargebacks, excessive refunds, sanctions, or any and other forms of penalties. |

|
10. You shall not display or include in YOUR Web Sites any content that infringes one or more patents, copyrights, trademarks, or other intellectual property rights (including trade secrets), privacy, publicity or other rights of any person or entity, or that violates any state of federal obscenity, harmful matter or child pornography laws;
That your site shall not display, publish, link to, or provide access to any content which is illegal, false, misleading, fraudulent, deceptive, threatening, abusive, hateful, defamatory, libelous, slanderous, scandalous or injurious content. |

|
11. If MANcheck.com or a card association concludes, in its sole and absolute
discretion, that a participating Web Site contains content that MANcheck.com or
a card association concludes is illegal or that violates the personal or
property rights of others, MANcheck.com has reserved the right, without prior
notice, to remove the Web Site and any of its content from its Participating
Site List and to immediately terminate and de-activate the account of the
participating Web Site. You understand that the procedures enforced by
MANcheck.com for any copyright or legal issues brought against any site
registered by you will be as follows: MANcheck.com will contact you via your
admistrative e-mail of the alleged violation of noted copyright infringements by
forwarding the initial correspondence directed to MANcheck.com to you.
MANcheck.com will request that you respond to the initial notification
immediately and that a satisfactory resolve is agreed between the two parties
within a 72-hour timeframe of the initial notification. MANcheck.com will
request that sales@MANcheck.com be CC'd on all correspondence between the two
parties. MANcheck.com concludes, in its sole and absolute discretion, to reserve
the right to suspend and or terminate any webmaster account not in compliance
with the above outlined procedure. |

|
12. If your site is going to be temporarily unavailable, it is your sole responsibility to e-mail support at sales@MANcheck.com with an estimated length of downtime so
MANcheck.com may arrange to keep your account open during the duration of your downtime. As
MANcheck.com regularly checks the Links list for bad links and If we come across a site that we cannot access, or if we cannot locate the
MANcheck.com script - that link will be removed from the Links list. |

|
13. You understand and agree that after 60 days of inactivity or if your Web site is seen with blind links to the sign-up pages and
MANcheck.com concludes, in its sole and exclusive discretion, that you are abusing our webmaster programs, your participation and listing in the
MANcheck.com Webmaster Links list and Search Engine can be immediately terminated by
MANcheck.com without any prior notice to you. Upon such termination, you will lose all claims on any reccurring proceeds owed to you and any proceeds or payment(s) otherwise due to you will be forfeited and automatically become the sole and exclusive property of
MANcheck.com. |

14. You understand and agree that if your Web Site is seen with blind links of any kind your Web Site will be removed off of our links list without warning. |
|
|
|
15. You understand and agree that if MANcheck.com concludes you have broken or violated any of these policies,
MANcheck.com reserves the right, in its sole and absolute discretion, to terminate your participation in the
MANcheck.com program or network. Upon termination, you will lose all claim or right to any reccurring proceeds to which you might otherwise be entitled as a participating member of the
MANcheck.com program or network and all such proceeds will be forfeited and automatically become the sole and exclusive property of
MANcheck.com. |

|
16. Either party shall be excused from delays in performing or from its failure to perform hereunder to the extent that such delays or failures result from causes beyond the reasonable control of such party, including, without limitation, acts of God, nature, any government agency(ies), war, civil disturbance, labor disputes or shortages, electrical or mechanical breakdowns, inability or refusal of a common carrier to provide communications capabilities, or any other cause beyond either party's direct control, including but not limited to, the issuance of an order by any regulatory, administrative, judicial or legislative prohibiting or interfering with either party from carrying on its day-to-day operations as contemplated under this Agreement. |

|
17. Nothing in this Agreement shall constitute or be construed to constitute or tending to create an agency, partnership, joint venture, master-servant or employer-employee relationship between
MANcheck.com and You, in any respect, any other provision of this Agreement notwithstanding. |
|
|
|
18. You understand and agree that if you are found to have made any form of slanderous comments or contributes in a negative way in public postings about
MANcheck.com or its affiliates, MANcheck.com reserves the right, in its sole and absolute discretion, to terminate your participation in the
MANcheck.com program or network. Upon termination, you will lose all claim or right to any reccurring proceeds to which you might otherwise be entitled as a participating member of the
MANcheck.com program or network and all such proceeds will be forfeited and automatically become the sole and exclusive property of
MANcheck.com. |

19. You shall not send any unsolicited e-mail or documents (Spamming) to a recipient that you do not have an existing business or personal relationship with, or who did not consent to or request for such an e-mail. Any complaints of receiving unsolicited e-mail or documents will result in deactivation, as well as possible termination of your website(s) from our system and will assist with any investigation. |

|
20. You understand and agree that in order to qualify for any reoccurring proceeds from the
MANcheckPlusVideo.com program a site must be both approved and listed in the
MANcheck.com participating sites list. You understand and agree that it is your responsibility to ensure the site status of your registered sites. You also understand and agree that to qualify for reoccurring proceeds to the
MANcheckPlusVideo.com program your master account must generate a minimum of one new sale per payout period. Simply put, Webmasters who do not effectively market their sites with
MANcheck.com do not qualify to earn monthly reoccurring sales, nor do sites that do not meet all of the Search Engine Listing Policies. |
|

|
21. If any provision of these Terms and Conditions is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable. |
|
| 22. Affiliate accounts that remain inactive for more than 12 months will be charged an administrative fee equal to the balance of that account, but not exceeding $49.99 USD |
